Terms of Service

By accessing or using the Alpha platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users of the Service, including brands, creators (clippers), and visitors. Alpha reserves the right to update or modify these Terms at any time. Continued use of the Service following any changes constitutes your acceptance of the new Terms.

Alpha is a content clipping marketplace that connects brands with creators for short-form video distribution campaigns. Brands launch campaigns; clippers create and post short-form clips; creators earn based on verified view performance.

Alpha provides tools for campaign management, creator discovery, analytics, and performance-based payouts. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

To access certain features, you must create an account and provide accurate, complete, and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your account credentials • All activity that occurs under your account • Notifying Alpha immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. Alpha reserves the right to refuse service, terminate accounts, or remove content at our sole discretion.

Brands using Alpha agree to:

• Provide accurate campaign briefs and source content • Fund campaigns in advance through Alpha's payment system • Comply with all applicable advertising, copyright, and intellectual property laws • Not engage in deceptive, misleading, or fraudulent campaign practices • Not request content that violates any third-party platform's terms of service

Alpha is not liable for campaign performance beyond the verified metrics provided. Brands acknowledge that creator output is independent creative work and results may vary.

Creators ("clippers") using Alpha agree to:

• Only post content they have the right to clip and distribute • Follow campaign briefs and platform-specific guidelines • Not artificially inflate views, engagement, or any performance metrics • Not post content that is defamatory, obscene, or violates any laws • Accurately connect and maintain their social media accounts for verification

Alpha may withhold or reverse payouts if fraudulent activity or Terms violations are detected. Creators are independent contractors, not employees of Alpha.

Brand Payments: Brands fund campaigns upfront through Alpha's secure payment system. Campaign budgets are held in escrow and distributed to creators upon verified performance.

Creator Payouts: Creators earn based on verified views as tracked by Alpha's analytics system. Payouts are processed on a weekly basis to verified payment methods. Minimum payout thresholds may apply.

Disputes: All payout disputes must be raised within 14 days of the payout date. Alpha's decision on view verification and payout calculations is final.

Taxes: Creators are solely responsible for reporting and paying any applicable taxes on earnings received through Alpha.

Brand Content: Brands retain ownership of their original content provided to Alpha. By uploading content, brands grant Alpha and participating creators a non-exclusive, royalty-free license to use, reproduce, and distribute that content for campaign purposes.

Creator Content: Creators retain ownership of their original edits and productions. By participating in campaigns, creators grant Alpha and the applicable brand a non-exclusive license to use, reproduce, and showcase their clips for promotional and reporting purposes.

Alpha Platform: All platform software, design, trademarks, and proprietary data belong exclusively to Alpha. You may not copy, modify, or distribute any part of the Alpha platform without express written permission.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations • Attempt to gain unauthorized access to any part of the Service or its systems • Interfere with or disrupt the integrity or performance of the Service • Upload or distribute viruses, malware, or other harmful code • Scrape, crawl, or systematically extract data from the Service without permission • Create multiple accounts to circumvent bans or restrictions • Engage in any activity that artificially manipulates campaign metrics • Harass, threaten, or harm other users of the Service

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

Alpha may use aggregated, anonymized data for product improvement, analytics, and marketing purposes without restriction.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Alpha does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Alpha does not guarantee any specific campaign outcomes, view counts, or earning levels.

To the maximum extent permitted by applicable law, Alpha shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service • Any conduct or content of any third party on the Service • Any content obtained from the Service • Unauthorized access, use, or alteration of your transmissions or content

Alpha's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to Alpha in the twelve (12) months preceding the claim.

Alpha reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately • Any pending payouts will be processed in accordance with our standard payout schedule, subject to fraud review • Provisions of these Terms that by their nature should survive termination will survive

You may terminate your account at any time by contacting support@alpha.app. Termination does not relieve you of any obligations incurred prior to termination.

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the applicable arbitration association.

Class action lawsuits and class-wide arbitration are not permitted under these Terms.

Alpha reserves the right to modify these Terms at any time. We will notify users of material changes via email or a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Service.
